The short version
The announcement says “SpaceX and Tesla”: a $16.8 billion first-phase chip complex in Grimes County, Texas, 3,000 jobs, chips for robots, cars, and orbital data centers. The incentive filings say what that number is: two school-district eligible-property schedules that sum to $16.801B exactly - an abatement accounting slice, not all-in capex.
The state registries say SpaceX. Four Terafab-side entities are on file: TERAFAB LLC (Delaware 3913340), TERAFAB TEXAS LLC (Texas 0806741990, at the Grimes County site), Terafab AI, LLC (Texas 0806598568, registered at 1 Rocket Rd, Starbase - SpaceX’s own address, and the entity behind the Texas incentive applications), and WIT Tech LLC (Texas 0804854926, Brownsville - the land company behind 7,700+ acres, nearly doubled in four days).
The incentive filings themselves carry the same split. The narrative: “led by a consortium of affiliated advanced technology companies, including Tesla, Inc., SpaceX, and xAI Corp.” The consultant’s description: “a planned semiconductor fabrication plant by SpaceX.” The application’s own Parent Company field: Space Exploration Technologies Corp.
The SEC-filed IPO documents carry no dollar figure for Terafab at all: 51 mentions describe “a general framework,” with timelines, milestones, and capital expenditures “not yet been determined.” The risk factor is SpaceX’s own dependence: Terafab “may not be successful, in which case we may not have other sources of sufficient AI chips.”
The only Terafab number attached to anything resembling a signature is the smallest one - a $5 billion county-agreement minimum whose SpaceX signature line is unsigned, with a walk-away-anytime clause beside it.
The fork
What the announcement says. August 6: SpaceX and Tesla announce the Grimes County site and the $16.8 billion first phase. Coverage frames a joint venture, 3,000 jobs, the world’s largest building. The project’s own website presents the Tesla-SpaceX pairing. That is the entire public ownership record: names in press releases.
What the paperwork says. The state registry layer - file numbers, registered agents, addresses - tells a one-parent story. Terafab AI, LLC, the entity behind the eight Texas JETI incentive applications, registers at 1 Rocket Rd, Starbase: SpaceX headquarters. WIT Tech LLC, the land vehicle holding the 7,700+ Grimes acres, registers in Brownsville, the Starbase company town. TERAFAB TEXAS LLC sits at the Plantersville site itself. The Delaware parent shell, TERAFAB LLC, completes the set. Four entities, every address in the SpaceWorld, none in Tesla’s Austin. The incentive filings repeat the pattern: Tesla appears in one narrative sentence, while the applicant is Terafab AI, LLC on SpaceX letterhead, and the application’s own Parent Company field names SpaceX. The applications arrived incomplete, took weeks of corrections, and were greenlit as SpaceX told school districts the project “could leave Texas entirely” without the breaks.
What the IPO documents say. SpaceX went public in June. Its prospectus, grep-verified in full, mentions Terafab 51 times and prices it zero times: “a general framework for the future development of Terafab,” with specifics “subject to separate negotiations and agreements… and have not yet been determined.” The first 10-Q filed two days before the August announcement booked nothing. The only Terafab sentence with balance-sheet consequences is the risk factor - and it runs in SpaceX’s direction: no Terafab, no sufficient AI chips.
The napkin
The four-figure fork - same project, four numbers, paper strength inverted:
Spread check: $119B is 23.8x the $5B minimum; $16.8B is 3.4x it. The only number a counterparty could theoretically hold someone to is the smallest - and its signature line is blank. Every number above it is a press release, a schedule nobody has published, or a relay. The arithmetic cannot tell you what Terafab costs. The paperwork cannot either. That is the finding.
Why it matters
“Who owns it” is not trivia here; it decides whose equity absorbs a multibillion-dollar capex program and whose risk factor it already is. The record as it stands: the registries say SpaceX files, SpaceX buys the land, SpaceX signs (or, so far, does not sign) the county agreement; the incentive filings name Tesla in one narrative sentence and put SpaceX everywhere else. The prospectus says SpaceX depends on the outcome. Tesla’s own Austin semiconductor permits in the same window total $150,000.
The question was asked publicly within days of the announcement, and it has stayed open because the registry layer - four file numbers, four addresses, minutes to check - went unpublished. Every “joint venture” restatement between now and a signed document is a reading of a press release against the paperwork.
The receipts behind this piece sit on the desk’s public reference page: data.somen.ai/companies/terafab.
The falsifier
Any of the following resolves the fork, on the public scorecard (resolve by Apr 30, 2027): a SpaceX filing that books a Terafab capital commitment (the Q3 10-Q, ~November, is the first candidate); a Tesla 10-K or earnings call that books Terafab capex or names a Terafab entity; the executed county agreement with a signature on the $5B minimum line; or JETI documents naming applicant entities other than the four above. Until one lands, “joint venture” is press-release language and this fork stays open.
